Legal notices under these Terms must be sent to: Kojib, 1270 Ave of the Americas, 7th Fl, New York, NY 10020 (At Rockefeller Center), with a courtesy copy to support@receiz.com and subject Legal Notice.
Receiz means the website, APIs, and related software operated under the Receiz name.
Receiz Output means generated artifacts including verification pages, images, bundles, metadata, hashes, and embedded or attached proof material.
Verification means deterministic checks that confirm a Receiz Output matches its declared parameters and has not been altered.
You means any individual or entity using Receiz.
If there is a conflict among contractual documents, controlling order is: Order Form (or enterprise schedule), then Data Processing Addendum (DPA), then Service Level Agreement (SLA), then these Terms, unless the higher-order document states otherwise in writing.
Receiz provides deterministic record generation and verification tooling. Verification confirms integrity of artifact bytes and proof coherence.
Receiz does not independently determine external factual truth, legal validity, or regulatory sufficiency of user-submitted claims.
Receiz is not legal advice, accounting advice, notarial service, or regulated compliance certification unless explicitly stated in writing.
You must use Receiz in compliance with applicable law and these Terms.
Each party must protect the other party's non-public confidential information using reasonable safeguards and use it only for contract performance, legal compliance, and authorized support operations.
You are responsible for credential security, endpoint security, and internal access governance. Receiz is responsible for service-side controls and operational security within its managed environment.
Successful verification confirms artifact integrity against declared parameters. It does not independently prove real-world truth, intent, or legal enforceability of underlying claims.
You are responsible for reliance decisions and for obtaining additional review (legal, compliance, or domain-specific) where required.
Receiz service software, product design, standards publications, and service marks are owned by Receiz or its licensors and are protected by intellectual property law.
You retain rights in the content you submit. You grant Receiz a limited license to process, store, transmit, and render that content only as required to operate the service, deliver requested outputs, and satisfy legal or security obligations.
Receiz may provide automation and AI-assisted capabilities, including communication and workflow assistance. These capabilities are operational tools and do not constitute legal or regulatory advice.
You are responsible for reviewing AI-assisted outputs before operational, legal, compliance, or customer-facing use.
Receiz is provided as is and as available. To the maximum extent permitted by law, Receiz disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
Receiz does not warrant uninterrupted availability, error-free operation, or that outputs will satisfy every legal, regulatory, or evidentiary requirement for a specific use case.
You will defend and indemnify Receiz against third-party claims arising from your content, unlawful use, or breach of these Terms, except to the extent caused by Receiz fraud, willful misconduct, or non-waivable legal violations.
Receiz will defend and indemnify you against third-party claims that the core Receiz service, as provided and used in accordance with these Terms, directly infringes third-party intellectual property rights, subject to customary exclusions (for example customer modifications, prohibited combinations, or unauthorized use).
To the maximum extent permitted by law, Receiz is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or goodwill.
To the maximum extent permitted by law, Receiz aggregate liability for claims in any 12-month period will not exceed amounts paid by you to Receiz in that period, or USD $100 if no fees were paid.
Nothing in these Terms limits liability for fraud, willful misconduct, IP infringement indemnity obligations, or liability that cannot be limited under applicable law.
Receiz may suspend access where required for security, abuse prevention, legal compliance, or protection of service integrity. Where commercially reasonable, Receiz provides notice and remediation opportunity for curable violations.
Either party may terminate for uncured material breach as defined in the governing commercial agreement. On termination, service access ends except where lawful retention, records preservation, or post-termination obligations apply.
Provisions that should survive by nature remain effective, including payment obligations, confidentiality, IP rights, indemnity, limitation of liability, and dispute provisions.
Unless the applicable Order Form states otherwise, these Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules, and disputes are subject to the state or federal courts located in Wilmington, Delaware, USA, except where mandatory law requires a different venue.
Receiz may update these Terms to reflect legal, security, or product changes. Material updates are published on this route with an updated effective date, and commercially reasonable notice is provided for materially adverse changes.
